These Terms of Service ("Terms") govern your access to and use of the website mlvision.life and related services offered by MLVision Inc. ("MLVision", "we", "us", or "our"). By accessing our website or engaging our services, you agree to these Terms.
1. Services
MLVision provides computer vision software (MLV-* products), consulting, training, deployment, and MLOps services. Specific deliverables, SLAs, and fees are defined in separate statements of work or subscription agreements.
2. Website Use
You may use our website for lawful purposes only. You must not:
- Attempt unauthorised access to our systems or networks
- Scrape, reverse-engineer, or disrupt website functionality
- Transmit malware or unlawful content
- Misrepresent your identity or affiliation
3. Intellectual Property
All content on this website — including text, graphics, logos, and software — is owned by MLVision or its licensors and protected by Canadian and international intellectual property laws. Client-owned training data and custom models remain the property of the client unless otherwise agreed in writing.
4. MLV Product Subscriptions
Access to MLV-* modules requires a valid subscription. Fees, usage limits, and support tiers are specified at purchase. We may update features with reasonable notice. Material reductions in functionality entitle subscribers to pro-rata credits or termination rights as stated in the subscription agreement.
5. Accuracy and Performance Claims
Benchmark metrics displayed on our website (accuracy, latency, throughput) represent illustrative or aggregated results. Production performance depends on your data, hardware, and configuration. Contracted SLAs supersede marketing materials.
6. Confidentiality
Both parties agree to protect confidential information disclosed during engagements. Camera feeds, annotations, and model weights provided by clients are treated as confidential unless a separate data processing agreement specifies otherwise.
7. Limitation of Liability
To the maximum extent permitted by applicable law, MLVision shall not be liable for indirect, incidental, special, or consequential damages. Our total liability for any claim arising from these Terms or website use shall not exceed the fees paid by you to MLVision in the twelve months preceding the claim, or CAD 5,000 if no fees were paid.
8. Disclaimer
Our website and services are provided "as is" without warranties of any kind, express or implied, except where explicitly stated in a signed agreement. Vision AI outputs require human review for safety-critical decisions.
9. Indemnification
You agree to indemnify MLVision against claims arising from your misuse of our services, violation of these Terms, or infringement of third-party rights through data you provide.
10. Governing Law
These Terms are governed by the laws of the Province of Quebec and the federal laws of Canada applicable therein. Disputes shall be resolved in the courts of Montreal, Quebec, unless the parties agree to arbitration.
